Ryan Brenneman is a senior finance, operations and strategic executive, and a corporate security and tax attorney, providing both interim and fractional CFO services and General Counsel services to a variety of companies and industries, specifically pharma, and financial services (mutual fund, securities, loans, alternative assets and real estate, including a public mortgage REIT).
With over 25 years of experience, Ryan has a strong track record of providing effective finance and accounting solutions to his companies and clients and has distinguished himself as an expert in the financial services industry. In addition to being a senior finance executive at both large and small private and public companies, Mr. Brenneman has spent a number of years as a CFO consultant, several years as a general counsel and transactional attorney, and three years as a tax and audit senior with PwC. In addition, Ryan’s resume includes public service. He was a senior financial and accounting leader for Freddie Mac, where he led FAS 166/167 and SOX 404 compliance efforts.
He also served as a principal with Booz Allen Hamilton where he started and led Finance for the Multifamily business unit and the Finance Operations & Systems Transformation practice area, including 50+ technical and accounting staff.
He has served as an interim and acting CFO or Chief Accounting Officer for companies including Eventide Asset Management, Selecta Biosciences, MassCEC, and Pathfinder International.
Ryan has also been an adjunct professor of accounting and business law at the undergraduate and graduate level at prestigious universities, including Brandeis University, George Washington University and Boston College.
As a public company CFO, Ryan has managed all aspects of public company practice, including all SEC filings (including registration statements), SOX, Tax, and other regulatory requirements (banking, FDA, etc.). While in these roles, Ryan has developed expertise in many technical accounting areas such as revenue recognition, embedded derivatives, stock compensation and warrant and equity accounting, and accounting for R&D partnership milestone payments. Additionally, he has served as the interim CFO for two very large not-for-profit organizations, as well as a life sciences company and a $5B AUM mutual fund, and established a shared services organization for the Chief Accounting Officer of a very large Boston-based diversified financial services firm.
Ryan is an operationally strong senior finance leader and manager, with experience in:
- restructuring and reorganizing finance activities to best suit the needs of the business
- implementing or improving systems to support business and accounting needs
- hiring, training, mentoring and building world-class finance teams, and
- driving continuous business and accounting process improvement, engineering, and reengineering.
Ryan has extensive experience with complex analytics and accounting processes and operations. This encompasses managing professional services companies with extensive technology, intellectual property, agency, partnership and services contracts and projects, involving project margin and profitability analysis. Also, he has experience with analyzing:
(i) net interest margin in a $ hundred billion plus investments portfolio, understanding why interest rate spreads (between buy and sell) were either narrowing or widening,
(ii) loan loss reserves, understanding why certain loans and/or portfolios of loans required taking a loan loss and overall the adequacy of the loan loss reserve, and
(iii) mortgage prepayments, understanding the impact of prepayments on amortization of mortgage fees. Mr. Brenneman also has experience analyzing loan loss reserves, specific loan writedowns/writeoffs, understanding changes in values of loans underlying certain loan trusts, and driving loan and securities portfolio pricing and valuation. Finally, Mr. Brenneman has experience analyzing securities portfolios pricing, interest rate markets and bond markets.
Ryan also has significant systems and operations integration experience and has led numerous financial systems integrations, including full general ledger applications such as Oracle, SAP, Great Plains Dynamics, and Solomon. He has led other application integrations, for project management, expense report and accounts payable processing, payroll and human resources. He has led and managed the integration of several companies following acquisition, and the separation of several companies following divestiture. In addition to leading and managing Finance and Accounting operations, Mr. Brenneman has also managed Legal, IT and HR functions. Ryan has managed large teams and has extensive project management experience.
Ryan has significant transaction and public securities offerings experience. He spent nearly ten years working for PwC and several law firms (including Wilmer Hale and Baker & McKenzie) representing and advising companies and investment banks in a variety of securities, company and asset transactions; these include initial and follow-on public offerings, 14 representing the securities underwriter and 9 representing the company, and many mergers and acquisitions, and a significant number of asset acquisitions and divestitures. As a finance executive, Ryan has been involved in several asset acquisitions, and three company acquisitions. In several instances, he helped to negotiate acquisition deal terms, and in each case he was integrally involved in evaluating and valuing the company involved, and in planning, executing and closing the transaction.
Ryan graduated from Bowdoin College, has a Masters in Accounting, and has a law degree from Georgetown University. He is a Certified Public Accountant, licensed in the District of Columbia.
